Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GDocify ("we," "us," or "our") regarding your use of the GDocify service (the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of Service

GDocify is a Software-as-a-Service (SaaS) automation platform that enables users to:

  • Connect to various datasource providers (Google Sheets, Airtable, Notion, HubSpot, Salesforce, and custom APIs) through OAuth integrations
  • Create automation workflows that retrieve data from connected datasources
  • Generate Google Docs by processing data from datasources and replacing placeholders in document templates
  • Automate document generation through webhooks, API calls, or scheduled triggers

The Service processes data from your connected datasource providers but does not permanently store this data. Data is retrieved, processed in memory, used to generate documents, and then discarded.

Account Registration and Eligibility

To use the Service, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate, current, and complete
  • Maintain the security of your account credentials and accept responsibility for all activities that occur under your account
  • Have the legal capacity and authority to enter into these Terms

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

OAuth Integrations and Third-Party Services

The Service requires you to grant OAuth permissions to connect to datasource providers. By connecting a datasource provider, you:

  • Grant GDocify permission to access data from the connected service as authorized by your OAuth consent
  • Acknowledge that you are responsible for managing your OAuth connections and permissions
  • Understand that you can revoke OAuth access at any time through your account settings or directly through the third-party provider
  • Agree to comply with the terms of service and privacy policies of all connected third-party services (Google, Airtable, Notion, HubSpot, Salesforce, etc.)
  • Acknowledge that GDocify's use of information received from Google APIs adheres to the Google API Services User Data Policy

We are not responsible for the availability, accuracy, or content of any third-party services or for any issues arising from your use of such services. Your use of third-party services is at your own risk.

Acceptable Use Policy

You agree not to use the Service:

  • For any illegal purpose or in violation of any local, state, national, or international law
  • To transmit, store, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • To violate or infringe upon the rights of others, including intellectual property rights, privacy rights, or publicity rights
  • To interfere with or disrupt the Service, servers, or networks connected to the Service
  • To attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
  • To use automated systems (bots, scrapers, etc.) to access the Service in a manner that sends more request messages than a human could reasonably produce
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • To use the Service to send spam, phishing emails, or other unsolicited communications
  • To use the Service in any manner that could damage, disable, overburden, or impair our servers or networks

We reserve the right to suspend or terminate your account immediately if you violate this Acceptable Use Policy or engage in any activity that we determine, in our sole discretion, is harmful to the Service, other users, or our business.

Intellectual Property Rights

Service Ownership: The Service, including all content, features, functionality, software, and materials, is owned by GDocify and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain all ownership rights to:

  • Data from your connected datasource providers
  • Google Docs and other documents generated through the Service
  • Templates, configurations, and automation workflows you create

License to Use Your Content: By using the Service, you grant GDocify a limited, non-exclusive, royalty-free license to:

  • Access and process your data from connected datasource providers solely for the purpose of providing the Service (generating documents)
  • Store your automation configurations, templates, and OAuth connection metadata necessary to provide the Service

This license terminates when you delete your account or disconnect the relevant datasource provider, except that we may retain backup copies for a reasonable period for disaster recovery and legal compliance purposes.

Payment Terms

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your subscription plan as described on our pricing page
  • Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified
  • All fees are non-refundable except as required by law or as explicitly stated in our refund policy
  • We reserve the right to change our pricing with reasonable notice to you
  • If payment fails, we may suspend or terminate your access to the Service
  • You are responsible for any taxes, duties, or fees applicable to your use of the Service

Service Availability and Modifications

We strive to provide reliable service but cannot guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:

  • Scheduled maintenance or updates
  • Unforeseen technical issues or outages
  • Issues with third-party services (Google, Airtable, etc.)
  • Force majeure events beyond our reasonable control

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time with or without notice
  • Update, change, or remove features, functionality, or integrations
  • Impose limits on usage, storage, or access to the Service

We will make reasonable efforts to notify you of significant changes that may affect your use of the Service.

Account Suspension and Termination

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:

  • Your access to the Service will be immediately revoked
  • All OAuth connections will be disconnected
  • Your account data and configurations will be deleted in accordance with our data retention policy
  • Documents generated through the Service will remain in your Google Drive (you maintain ownership)

Termination by Us: We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, illegal, or harmful activity
  • You fail to pay required fees (for paid plans)
  • Your account has been inactive for an extended period
  • We are required to do so by law or court order

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GDOCIFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses
  • Any damages resulting from your use or inability to use the Service
  • Any damages resulting from unauthorized access to or alteration of your data or transmissions
  • Any damages resulting from the actions or conduct of third parties, including third-party service providers
  • Service interruptions, errors, bugs, or technical malfunctions

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE OR ANY CONTENT OBTAINED THROUGH THE SERVICE

We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free. You assume full responsibility for the use of the Service and for any results obtained from such use.

Indemnification

You agree to indemnify, defend, and hold harmless GDocify and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; (d) your violation of any applicable law or regulation; or (e) any content or data you submit, post, or transmit through the Service.

Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

  • First, good faith negotiations between the parties
  • If negotiations fail, binding arbitration in accordance with the rules of the Arbitration and Conciliation Act of India, or as otherwise agreed by the parties
  • The arbitration shall be conducted in Mumbai, Maharashtra, India

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

  • Posting the updated Terms on this page with an updated "Last updated" date
  • Sending you an email notification (if you have provided an email address)
  • Displaying a notice on the Service

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.

Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GDocify regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
